Terms of Service

These Terms of Service (the "Terms") govern your access to and use of subscribe.dev's services, including APIs, SDKs/libraries, dashboards, metering, subscription and payment features, analytics, and the workflows.subscribe.dev vendor platform (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization.

1. Stripe and Payment Processing

  • All payment processing is provided by Stripe, Inc. ("Stripe"). Your use of payment and subscription features is subject to the Stripe Services Agreement and related policies, which are incorporated by reference.
  • We do not store full payment card details. Payment data is handled by Stripe under its security, privacy, and compliance programs.
  • If your business or activities are prohibited or restricted by Stripe, you must not use the Services for those activities. We may suspend or terminate your account if required by Stripe or if your use would cause us or Stripe to violate Stripe's terms or law.

2. Prohibited and Restricted Businesses

You may not use the Services to engage in or enable any business or activity that violates Stripe's Prohibited and Restricted Businesses. Without limitation, examples include:

  • Illegal products/services; counterfeit or IP-infringing goods/services.
  • Adult content/services or sexually explicit material.
  • Gambling, betting, lotteries, or casinos.
  • Payday lending, debt collection, credit repair, or debt relief schemes.
  • Marijuana/cannabis products or drug paraphernalia where not legal.
  • Weapons, firearms, ammunition, explosives.
  • Multi-level marketing, pyramid schemes, "get rich quick" schemes.
  • Unapproved pharmaceuticals, unsubstantiated health/medical claims.

Restricted examples (require Stripe approval/extra compliance):

  • Insurance, investment, securities/commodities, or brokerage services.
  • Pharmaceuticals, nutritional supplements, tobacco products.
  • Travel services and ticketing.
  • NFTs and other virtual asset service providers; certain crypto uses.
  • Transactions involving sanctioned persons or high‑risk jurisdictions.

If Stripe prohibits or restricts a business or use case, you are equally prohibited or restricted from using subscribe.dev for that business or use case.

3. Accounts and Eligibility

  • You must be at least 18 and able to form a binding contract.
  • You must provide accurate account information and keep it updated.
  • You are responsible for maintaining the confidentiality of credentials and all activity under your account.

4. Acceptable Use

You may use the Services only for lawful purposes. You may not:

  • Bypass, disable, or interfere with usage metering or limits; or attempt to do so.
  • Reverse engineer, decompile, or misuse the APIs or libraries except as permitted by law.
  • Use the Services to engage in fraud, exploitation, or any unlawful activity.

5. Intellectual Property

  • Volter retains all rights, title, and interest in and to the Services, including APIs, SDKs/libraries, software, documentation, and branding.
  • You retain all rights to your applications and content. You grant us a limited license to process, transmit, and store your data as necessary to provide the Services.

6. Fees, Taxes, and Refunds

  • Fees are as described in your plan or order form. Unless required by law or Stripe's policies, fees are non‑refundable.
  • You are responsible for all applicable taxes and government charges.

7. Indemnification

You will indemnify, defend, and hold harmless Volter and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, fines, penalties, or costs (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of the Stripe Services Agreement or Stripe Prohibited/Restricted Businesses; or (c) any fines, fees, or assessments imposed by Stripe or financial partners due to your conduct.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT CONTROL STRIPE'S DECISIONS OR SYSTEMS AND ARE NOT RESPONSIBLE FOR STRIPE'S ACTIONS, OUTAGES, HOLDS, OR TERMINATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOLTER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, RELIANCE, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Suspension and Termination

We may suspend or terminate your access to the Services immediately if: (a) you violate these Terms; (b) you engage in prohibited or restricted activities; (c) we are required or requested to do so by Stripe or by law; or (d) your use presents an unacceptable risk. Upon termination, your right to use the Services ends immediately.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction and venue over disputes arising out of or relating to these Terms, and you consent to their jurisdiction.

12. Changes to the Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., via the dashboard or email). Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

13. Vendor Platform Terms

This section applies specifically to users of workflows.subscribe.dev (also referred to as "Subscribe Dev Vendor" or "Vendor Platform") and supplements the general Subscribe Dev Terms of Service and Privacy Policy.

13.1 Vendor Account and Responsibilities

Account Creation:

By creating a vendor account on workflows.subscribe.dev, you agree to act as a content creator and workflow publisher on the platform. You may create, publish, and monetize AI workflows for use by other users.

Content Responsibility:

You are solely responsible for all content you create, upload, publish, or distribute through the Vendor Platform, including but not limited to: workflow configurations and logic; descriptions, titles, and metadata; thumbnail images and preview videos; example outputs and showcases; and any other data or materials associated with your workflows.

Content Standards:

All content you publish must: comply with all applicable laws and regulations; not infringe on any third-party intellectual property rights; not contain harmful, offensive, or illegal content; not violate the rights of any person or entity; not contain malware, viruses, or malicious code; and accurately represent the functionality and outputs of your workflows.

13.2 Workflow Publishing and Approval

We reserve the right, but are not obligated, to review, approve, or reject any workflow, output, or content before or after publication. Submission of a workflow does not guarantee approval or publication on the marketplace. Published workflows may be designated as: Live (approved and visible in the marketplace), In Review (submitted and awaiting approval), Unlisted (published but not discoverable in marketplace searches), or Rejected (not approved for publication).

We reserve the right, at our sole discretion and without prior notice, to: approve or reject workflows for marketplace publication; remove, unpublish, or delist any workflow at any time; delete or modify any workflow content, outputs, or metadata; suspend or terminate vendor accounts that violate these terms; and modify workflow visibility, categorization, or featured status. You acknowledge that we have no obligation to publish, display, or maintain any workflow on the platform, even if previously approved.

13.3 Vendor Monetization

Vendor users may earn revenue when other users execute their published workflows. The amount earned per execution is determined by the cost-per-execution you set for each workflow, as explained in the platform interface. The revenue share and fee structure for workflow executions are detailed in the platform and may be updated from time to time.

All payments to vendors are processed through Stripe or other third-party payment processors. By participating in the vendor program, you agree to: connect your own Stripe account to receive payouts; comply with Stripe's terms of service and acceptable use policies; provide accurate tax and banking information as required; and be responsible for all tax obligations related to your earnings.

It is your sole responsibility to: connect and maintain a valid Stripe account; ensure your payment information is current and accurate; initiate withdrawal requests when you wish to receive funds; and report all earnings for tax purposes as required by law. We are not responsible for: delays in payout due to incorrect or incomplete payment information; payment processing fees charged by third-party processors; tax obligations or reporting related to your earnings; or any disputes between you and payment processors. We make no guarantees regarding the amount of revenue you may earn from your workflows.

13.4 User-Generated Outputs

When users execute your workflows, they generate outputs (images, text, videos, etc.). You acknowledge that users are responsible for their use of workflow outputs; you are not responsible for how users use or misuse outputs from your workflows; and we reserve the right to remove any outputs that violate our policies. We reserve the right to remove, hide, or delete any outputs generated by workflows if they: violate our content policies; infringe on intellectual property rights; contain illegal or harmful content; or are reported by users as inappropriate.

13.5 Data and Privacy

You may have access to aggregated, anonymized data about how users interact with your workflows (e.g., execution counts, ratings). You must: not attempt to identify individual users; not use this data for purposes outside the platform; and comply with all applicable privacy laws. We may collect and analyze data about workflow performance, usage patterns, and outputs for purposes including platform improvement, fraud prevention, legal compliance, and aggregate analytics.

13.6 Intellectual Property

You retain ownership of the workflows you create, subject to the license you grant us. By publishing a workflow, you grant Subscribe Dev a worldwide, non-exclusive, royalty-free license to: host, store, and display your workflow and associated content; execute your workflow on behalf of users; promote and market your workflow on the platform and in related materials; and make derivative works as necessary to operate the platform. If you designate a workflow as "Open Source," you grant other users the right to view, duplicate, and modify your workflow logic for their own use on the platform.

13.7 Prohibited Activities

You may not: publish workflows that violate laws or third-party rights; manipulate execution counts, ratings, or other metrics; attempt to circumvent payment processing or fee structures; scrape or copy other users' closed-source workflows; use the platform to distribute malware or malicious code; engage in fraudulent or deceptive practices; create multiple accounts to abuse the platform; or publish workflows that exist solely to redirect users elsewhere.

13.8 Vendor Termination and Liability

We may suspend or terminate your vendor account at any time, with or without cause, including for: violation of these terms; fraudulent activity; user complaints or reports; prolonged inactivity; or platform abuse. Upon termination: your workflows will be unpublished and removed from the marketplace; you will forfeit access to your vendor account; unpaid earnings may be forfeited if termination is due to policy violations; and we may retain data as required by law or for legitimate business purposes.

You agree to indemnify and hold harmless Subscribe Dev, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: your workflows or content; your violation of these terms; your violation of any third-party rights; outputs generated by your workflows; or your breach of representations and warranties. To the maximum extent permitted by law, Subscribe Dev is not liable for: loss of revenue or earnings from workflows; actions taken by users with workflow outputs; payment processing errors or delays; content removal or account suspension decisions; or platform downtime or technical issues.
